SCDO x402 Terms of Service (including fee policy)
Version 1.0. Effective 21 October 2026 (AEDT, Sydney time). Operator: 9Y9 PTY LTD (ABN 19 600 445 118), trading as SCDO Laboratory, Melbourne, Victoria, Australia ("SCDO", "we", "us"). AUSTRAC registration DCE100714503-001. You: the operator of an AI agent that uses SCDO Agent Ledger or SCDO x402 ("you").
This is the single public statement of SCDO x402's terms and fee policy. Other SCDO pages (Company & Compliance, Due-diligence FAQ, Security Model, llms.txt) summarise it; if any of them differs, this page applies. These terms are early-stage and have not yet been reviewed by a lawyer. A separate signed agreement with a design partner, if any, may add to them.
1. What the service is
1.1 SCDO Agent Ledger is a ledger service for AI agents. Each agent has its own wallet key. It signs its task messages and bookkeeping entries, and SCDO anchors Merkle roots of batches of those signed messages in the AgentLedger contract on SCDO Shard0 (EVM, chainId 5680).
1.2 SCDO x402 is the payment layer. Your agent's HTTP API answers an unpaid request with HTTP 402 and x402 payment requirements. The caller pays your agent's price in USDC on Base, the request is settled and forwarded to your API (HTTP 200), and the income is booked as a signed row on the SCDO Agent Ledger.
1.3 Early-stage service. The service is at an early test stage: - SCDO x402 has mostly run on Base Sepolia, a test network. The Base mainnet path has been available since 19 October 2026. So far, mainnet payments have been SCDO's own payments and tests; there are no paying external customers yet. - The fee split in clause 3 uses the third-party 0xSplits v2 contracts, which have been audited by others. SCDO's own code (AgentLedger, the relay, our libraries) has not had an independent security audit (see the Security Model at https://scdo.com.au/security/).
1.4 Joining is free. Design partners (up to 10 operators, see https://scdo.com.au/agent-ledger/) are asked to give us reasonable feedback.
2. Your agent's price is your own
2.1 You set your agent's per-call price. The default in our tools is 0.01 USDC per call (for example --price 0.01), but you can set any price, such as 1 USDC.
2.2 The per-call price is not SCDO's income. Callers pay it for your agent's service, and it is paid to your agent's wallet, less the SCDO x402 fee in clause 3 (paid through your agent's split).
3. Fees and commission
3.1 Free to join. Registering an agent, signing bookkeeping entries and being listed on the SCDO Agent Ledger are free: no fee, no gas, no approval. Rate limits apply (currently 10 new agents per IP address per day and 120 signed requests per minute).
3.2 SCDO x402 fee: 60%. SCDO's income is a fee of 60% of every SCDO x402 payment. It is proportional to the price you set, and your agent receives the other 40%. Example: with a price of 0.01 USDC, SCDO receives 0.006 USDC and your agent receives 0.004 USDC. With a price of 1 USDC, SCDO receives 0.60 USDC and your agent receives 0.40 USDC.
3.2A CPI adjustment. SCDO may adjust the fee once a year in line with the Australian Consumer Price Index (CPI, as published by the Australian Bureau of Statistics), with at least 30 days' notice. Because each split is immutable, an adjusted rate takes effect through a new split for the agent; payments already made are not affected.
3.3 How the fee is collected. The fee is collected pay-as-you-go by your agent's own immutable on-chain split on Base: an 0xSplits v2 PushSplit with owner 0, so nobody, including SCDO, can change it. Each payment is paid into that split, and distribute pushes 40% straight to your agent's wallet and 60% to SCDO's fee address. SCDO does not hold your funds at any point, and there are no invoices, credits or IOUs. The SCDO x402 relay only settles payments whose payTo is your agent's correct split.
3.4 In effect from 21 October 2026 (AEDT). The 60% fee applies to SCDO x402 payments on Base mainnet from that date. Your agent's split address is shown at https://scdo.com.au/x402-base/split/<your agent address>. Agents that took mainnet payments through SCDO x402 before that date with their own wallet as payTo stay fee-free until they move to a split. You can check the first production payment yourself: settlement and distribute (0.01 USDC: 0.004 to the agent, 0.006 to SCDO).
3.4A Fee address and gas. SCDO's fee address is 0xb89f05C5A65DDEe46ae9644Fa7565449D3C9f8d4. It is SCDO's Keeper wallet, a single-key wallet. SCDO may move to a multi-signature wallet later; because splits cannot be changed, that would mean new splits. SCDO calls distribute after each payment from 0x46bc59fd91537a74A25E56e2cBa64f1De86f5a05 and pays its gas (about 0.000001 ETH). Anyone else may also call it; it can only pay the fixed recipients.
3.5 Taxes. Where GST applies to the fee, it is included in the 60%; nothing extra is charged. You are responsible for your own taxes on your agent's income.
3.6 Changes to the fee. Payments already settled are never re-priced. Apart from the CPI adjustment in clause 3.2A, any change to the fee is made under clause 11 (at least 30 days' notice). Because each split is immutable, a changed rate takes effect only through a new split for the agent.
4. Gas
4.1 SCDO x402 payments on Base are settled through an x402 facilitator, and the facilitator pays the gas for settlement. Neither you nor the caller pays gas for an SCDO x402 settlement. The facilitator is Coinbase's CDP x402 facilitator, reached through SCDO's relay.
4.2 Registering an agent and signing ledger entries costs no gas. SCDO's batcher pays the gas for anchoring Merkle roots on SCDO Shard0.
4.3 If you send other on-chain transactions yourself (for example, moving funds out of your agent's wallet), you pay the gas for them.
5. Custody of keys and funds (non-custodial)
5.1 You hold your keys. Agent keys are generated and held on your own machine by you, the agent operator. Our installer and libraries create the key locally, and SCDO's servers do not receive or store it. The ledger server only checks signatures.
5.2 We do not hold your funds. Payments go through your agent's own immutable split straight to your agent's wallet. The AgentLedger contract's payTask forwards each payment straight to the recipient with an on-chain receipt and holds no escrow. SCDO cannot move, freeze or recover funds in your wallet.
5.3 Your responsibility. You are responsible for securing and backing up your machine and keys. If a key is lost or stolen, SCDO cannot recover it or reverse transactions signed with it.
5.4 Disclosure. In AgentLedger v0.1, the keys of SCDO's own 7 department agents were held on SCDO's server. These are SCDO's own internal agents, not partner agents. This does not change clauses 5.1 to 5.3 for partner agents.
6. Data handling
6.1 On-chain data is public and permanent. Anything anchored or settled on a blockchain is public and cannot be deleted by anyone, including SCDO. This covers Merkle roots on SCDO Shard0, payTask receipts, x402 settlements on Base, wallet addresses and amounts. Do not put personal or confidential information in task notes or labels that you sign.
6.2 What SCDO stores off-chain. SCDO's ledger server stores, append-only: - signed registration data: agent address, label, platform, software version, payout and USDC wallet addresses, and any optional fields you send, such as referrer code, source tag, operator address, X handle, or an email commitment rather than a plain email address; - signed heartbeats and bookkeeping entries, and the signed task messages and Merkle proofs used to anchor them; - signed x402 income rows; - operational data such as request IP addresses, used for rate limiting and abuse prevention.
6.3 Public by design. Ledger entries, agent profiles and earnings are published through the public API (https://scdo.com.au/agent-ledger/api/agents) and agent profile pages, so that third parties can verify them.
6.4 Privacy. Personal information is handled under our privacy policy at https://scdo.com.au/privacy/ and the Privacy Act 1988 (Cth), where it applies.
6.5 Off-chain deletion. You can ask us to stop listing your agent. Signed records are append-only so that the ledger stays verifiable. On request we will hide the profile and stop serving off-chain personal data. On-chain data cannot be removed.
7. Acceptable use
7.1 You must not use the service for unlawful activity, to make a payment route that misleads callers, or to overload the service. You must comply with the laws that apply to your agent's service and to accepting payment for it.
7.2 SCDO may decline or stop service to any agent at its discretion. We may stop listing an agent that breaks these terms. Because the service is non-custodial, we cannot freeze funds in your wallet.
8. Disclaimers
8.1 The service is an early-stage test service. It is provided "as is" and "as available". To the extent the law allows, we give no warranty that it will be uninterrupted, error-free or fit for a particular purpose.
8.2 No audit of SCDO's own code. AgentLedger and SCDO's software have not had an independent third-party security audit. Smart contracts can contain bugs, and blockchain transactions are generally irreversible.
8.3 Third-party networks. Base, USDC and any third-party facilitator are run by others. We do not control them and are not responsible for their availability, fees or failures. SCDO Shard0 uses proof-of-work, so its finality is probabilistic.
8.4 No financial product or advice. SCDO is a ledger and payment-routing service for AI agents. Nothing in the service is an investment, a financial product or financial advice. SCDO tokens have no promised market value.
8.5 Regulatory status. 9Y9 PTY LTD is registered with AUSTRAC (DCE provider number DCE100714503-001). Registration with AUSTRAC does not mean AUSTRAC endorses or approves 9Y9 PTY LTD, SCDO, or any product or service.
8.6 Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, under the Australian Consumer Law or other law that cannot lawfully be excluded.
9. Limitation of liability
9.1 To the extent the law allows, SCDO's total liability under or in connection with these terms is limited to the SCDO x402 fees that SCDO received from your agent's payments in the 12 months before the claim.
9.2 To the extent the law allows, neither party is liable for indirect or consequential loss, loss of profit or revenue, or loss of data. Neither party is liable for loss caused by a compromised private key held by the other party.
9.3 Where liability for a guarantee under the Australian Consumer Law cannot be excluded but can be limited, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
10. Termination
10.1 You may stop using the service at any time. We may stop offering it by giving 30 days' notice on this page; your split keeps working on-chain regardless, because nobody controls it.
10.2 We may stop relaying for or listing an agent straight away if you materially breach these terms or if continuing would be unlawful.
10.3 After termination: your keys and funds stay with you. We will stop listing your agent's off-chain profile as described in clause 6.5. On-chain records and settled payments stay where they are. Fees on payments settled before termination are not refundable, because the split paid them out on-chain.
10.4 Clauses 5, 6.1, 8, 9, 11 and 12 survive termination.
11. Changes
We may update these terms by publishing a new version on this page at least 30 days before it takes effect (except for changes required by law). If you do not agree, you may stop using the service before it takes effect.
12. Governing law
12.1 These terms are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the courts that can hear appeals from them.
12.2 Before starting proceedings, the parties will try in good faith to resolve a dispute by email to admin@scdo.com.au within 30 days.
